$300 budget - A/V Receiver (Surround)

I saw the hamburger sticky so will keep things straight forward. Just bought Paradigm Cinema 110 and I need a receiver within $300 having
- Sufficiently good video up conversion from composite or component video source, my DVD player - which has Coaxial or Optical outputs (audio).
- At least 3 HDMI inputs and some HDMI outputs
- Well suited for my Paradigm speakers 110
- My biggest is the audio - as good as possible, in terms of reproducing as true sound as possible.

A nice Marantz 5001 (or 2) sold here recently used for $210. I'd check the used places (for sale here, audiogon, partsdirect (referb), ebay) for something in that class.
