....and why, I am torn between the two, among others. I want HDMI pass through, most important, but I also love the upscaling and de-interlacing. So which does it better. I could care lees about the watts, I know any receiver will do fine for me in that respect.

You need the Yamaha RX-V2700 or 2600 from upscaling analog sources to 720p or 1080i. The Yamaha and denon models you list will both do video format conversions from analog to HDMI and I am not sure if the denon does any upscaling. Their web site is pretty vague about these features, but I think the $2k denon 4306 will upscale.

Keep in mind that an HD source or good DVD player will not need the upscaling feature and there is only so much that receiver upscaling can do for a low resolution SD source.
