Denon 3802 for 250$ is it a good deal?

Depending on what you require, I'd say that's a good deal (the usual caveats apply- assuming a reputable seller & that it's in good condition, etc). I used to have one; when I replaced it with a 3805 I gave the 3802 to my sister and she still uses it. The 3805 is much nicer, with many features the '02 lacks like upconversion of all inputs to component, etc. The 3802 only has 2 component video inputs and no provision for HDMI at all. But if all you need is a good sounding, powerful reciever that decodes virtually all standard surround formats the 3802 should serve you very well.

to this day I am using the Denon 3802 and love it. Each time an upgrade comes out I research it to see if it's worth upgrading. The 3808ci came close but I think I'll wait to see if the 3809 has wireless internet. that would do it for me.

All the other stuff that has come out has not justified buying a new one yet:

HDMI audio - my digital coaxial cable is good enough.
Video upconverting - not needed as I connect my DVD player direct to my TV and have a sweet Denon 1930ci, doesn't need upconverting.
