UP converting usually means you're converting a video signal from a lower-res/poor format to a higher-res/better format.

For example component video 480p to HDMI 720p. Or I could just open up a HUGE can of worms and say 720p to 1080i and let the flame wars begin ;)

Down conversion usually means going from a higher resolution format to a lower resolution one...e.g a 720 TV receiving 1080 programming will downscale the image to 720 to make the image fit.

Upconversion refers to the ability to route a signal from lower quality connection to higher quality connections. Eg. composite -> component or composite -> HDMI or Component -> HDMI. etc.

Upscaling refers to the ability to change the resolution of input signal before outputing it, and to a higher resolution than the input. Eg. 480i -> 480p or 480i -> 720p or 720p -> 1080p or 720p -> 1080i. etc.

Down conversion and down scaling refer to the reversed.
