Onkyo DV-SP405 v. Panasonic DVD-S35

I have the chance to get an Onkyo DV-SP405 for $30 from a friend. I currently have a Panasonic progressive-scan DVD going to my Westinghouse LCD. I've been satisfied with the TV's upscaling, but I'm wondering if I should take this chance at a cheap upgrade. The only advantage that really interests me is better upscaling. Will I even notice a difference?

I've also thought about trying to sell the pair and get a Oppo 980.

Any thoughts?

I'd get the Oppo. The S35 is not bad, no experience with the Onkyo, but the Oppos are highly rated for a reason. I had the 970 and now have the 980 and they are excellent players. (also had the S35, F87, and others).
